1. Acceptance of Terms

By accessing and using the Veroryx website and purchasing our products, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our site or purchase our products.

2. Research Purchase Terms & Attestation Agreement

Effective date: August 3, 2026
Document version: 2026.08.03-1

This Research Purchase Terms & Attestation Agreement (the “Research Purchase Agreement”) governs each order submitted to Veroryx. Buyer, you, and your mean the institutional or professional purchaser and the individual acting on its behalf. Order means the specific transaction submitted through the Veroryx storefront.

The four separately presented declarations in the access and purchase flow are material, independent conditions of access and sale. By selecting every required declaration and later submitting an Order, you electronically accept this Research Purchase Agreement, reaffirm each declaration for that Order, and represent that you have authority to bind Buyer.

2.1 Required declarations

To access the storefront and place an Order, you must separately confirm that:

  1. Terms and research-use policy. You agree to these Terms and acknowledge the research-use policy.
  2. Institutional or professional capacity. You are acquiring the materials in an institutional or professional research capacity and have the authority, training, facilities, and procedures appropriate for the materials ordered.
  3. Research use only. Every product in the Order is being purchased solely for legitimate laboratory research and is not for human or veterinary use or consumption.
  4. Age 21 or older. The individual accessing the storefront and completing the purchase is at least twenty-one (21) years old.

Each declaration remains independently material. Veroryx would not grant access to the storefront or accept the Order without all four declarations.

2.2 Research-use-only condition of sale

All products sold by Veroryx are intended for laboratory research use only. They are NOT intended for:

  • Human consumption of any kind
  • Diagnostic or therapeutic procedures
  • Clinical or veterinary applications
  • Any use outside of qualified laboratory settings

Buyer is responsible for determining whether it may lawfully order, receive, possess, transport, handle, store, use, and dispose of the products and for maintaining appropriate personnel, facilities, safeguards, records, and procedures.

2.3 Order and payment authorization

You authorize Veroryx to initiate and complete payment for the exact amount and currency shown for the Order, including any separately disclosed taxes, shipping charges, and fees, through the payment method you select. Available methods may include Square-supported credit or debit card, bank account (ACH), and Cash App Pay payments, as well as manual Zelle or Venmo payments.

A Zelle or Venmo Order remains unpaid and pending until Veroryx confirms receipt of the exact payment amount and the required Order-number reference. Payment authorization applies only to the specific Order and does not authorize a subscription, recurring charge, or future off-session charge.

2.4 Refunds, returns, and cancellations

Our Returns & Refunds Policy is incorporated into this Research Purchase Agreement. Nothing in that policy or these Terms limits a right that cannot lawfully be limited or waives a payment-dispute right available under applicable law or the rules of the selected payment provider.

2.5 Truthfulness and material misrepresentation

You represent that each declaration and all information supplied for the Order are true, accurate, and complete. A knowing misrepresentation is a material breach and may result in refusal or cancellation of the Order, suspension of access, and responsibility for resulting losses to the extent permitted by law.

2.6 Electronic acceptance and records

You consent to transact electronically. Your affirmative selection of every required declaration, together with submission of an Order, constitutes your electronic acceptance of this Research Purchase Agreement. Veroryx may retain records reasonably generated through account access, security verification, checkout, and payment processing, including acceptance status, timestamps, Order and payment-attempt identifiers, and provider-generated security or browser signals.

These records may be used for fraud prevention, security, compliance review, contract enforcement, customer support, and payment-dispute response, and may be disclosed to payment providers, financial institutions, service providers, courts, regulators, or law-enforcement authorities when reasonably necessary or legally required. Records are handled under our Privacy Policy and applicable law. The version accepted when an Order is submitted governs that Order; later revisions do not retroactively change a completed Order.

2.7 Responsibility, assumption of risk, and indemnification

To the fullest extent permitted by law, Buyer assumes the risks arising from its breach of this Research Purchase Agreement, any untrue declaration, or its receipt, possession, transport, handling, storage, use, misuse, or disposal of the products. Buyer agrees to indemnify and hold harmless Veroryx and its owners, officers, directors, employees, contractors, and agents from claims, losses, liabilities, costs, and reasonable attorneys’ fees arising from those acts, a violation of applicable law, or a breach of these Terms, except to the extent a final decision determines that a loss was caused by the indemnified party’s gross negligence, willful misconduct, or fraud.

2.8 Contact before filing a payment dispute

For a problem with an Order, you agree to contact Veroryx support first and provide a reasonable opportunity to investigate and respond. This is a customer-service commitment and does not limit, delay, or waive any dispute right available under applicable law or payment-provider rules.

2.9 General provisions

  • The selected payment provider’s terms control its own payment services, and our Returns & Refunds Policy controls returns, refunds, and cancellations.
  • If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect.
  • A failure to enforce a provision once is not a waiver of future enforcement.
  • The declarations, payment authorization, record provisions, assumption of risk, limitation of liability, indemnification, and dispute provisions survive completion, delivery, cancellation, refund, or termination of an Order.

Electronic acceptance statement:By separately selecting all four required declarations and submitting an Order, Buyer confirms that it has read, understood, and agreed to this Research Purchase Terms & Attestation Agreement.

2.10 Researcher Agreement

This Researcher Agreement supplements the Research Purchase Agreement above. You confirm that you are a qualified researcher purchasing solely for lawful laboratory research and not for human or veterinary use. Veroryx may request additional information when reasonable questions arise about your eligibility, authority, information, or intended research use. You agree to provide a truthful and reasonably complete response if you want the affected Order to proceed. If you cannot or choose not to provide the requested information, you may cancel the affected unshipped items under the protections below; failure to complete an information request does not, by itself, cause forfeiture of your payment.

2.11 Qualifications, capacity, and truthful information

You represent that you possess the training, knowledge, and access to appropriate laboratory facilities and procedures necessary for the ordered materials and their intended lawful research use. You remain responsible for obtaining any supervision, permits, or institutional authorizations required for the work.

You will provide accurate and current identity, contact, professional, and organization information. You will not use another person’s identity, claim credentials you do not hold, submit misleading documents, or identify an organization with which you have no legitimate relationship. If acting for an organization, you confirm your authority to make the purchase and these representations on its behalf. You will correct material errors before proceeding and notify Veroryx if you discover an error that affects an Order already submitted.

2.12 Professional, university, and institutional research

Your stated research capacity must accurately describe the capacity in which you are purchasing. Independent professionals remain subject to the same qualification, lawful-use, and facility requirements as university, institutional, or laboratory purchasers. Professional capacity does not permit a personal, family, household, human-use, or veterinary-use purchase. An email domain alone does not establish or disprove research qualifications.

2.13 Laboratory restrictions and handling responsibility

You will not administer the materials to a person or animal, consume them, use them for self-experimentation, supply them to another person for a prohibited purpose, or present them as a medicine, treatment, preventive measure, diagnostic product, food, supplement, or other product for a use Veroryx does not lawfully offer. A research-use label, site access, or acceptance of this Agreement does not authorize prohibited conduct, restricted research, or clinical activity.

Before ordering, you will determine whether the laboratory has suitable personnel, equipment, storage, handling procedures, and waste-disposal arrangements. You will consider available product and safety information and obtain appropriate guidance when needed. This responsibility does not release Veroryx from its obligations concerning product descriptions, lawful sale, fulfillment, or mandatory customer rights, and it does not represent that any material is safe, approved by a regulator, or suitable for a particular experiment.

2.14 Requests for additional information

When a reasonable question arises about eligibility, the accuracy of information, purchasing authority, intended laboratory use, or arrangements for lawful receipt and handling, Veroryx may request information proportionate to the issue. The request will identify what is needed, explain the subject requiring clarification sufficiently for you to respond, provide a reasonable response deadline and support contact, and explain that you may cancel affected unshipped items if you cannot or do not wish to respond. The request does not authorize an additional charge or review fee.

2.15 Responding and protecting sensitive information

You may ask why an item is needed, whether an alternative document would answer the question, and whether irrelevant or sensitive information may be redacted. This Agreement does not require you to disclose passwords, email verification codes, complete payment-card credentials, unrelated medical information, or confidential research details unnecessary for the stated purpose. A redaction must not make the submitted information misleading. If a sufficient and appropriate response cannot be agreed upon, you may cancel affected unshipped items instead of providing the disputed information.

2.16 Pending requests, cancellation, and unshipped-item refunds

Veroryx may pause affected unshipped items while a relevant question remains unresolved and may decline them when reasonably necessary information remains unavailable. Veroryx will communicate a decision affecting fulfillment and the resulting cancellation or refund. A pending request does not permit indefinite retention of payment or unlimited shipment delay, and shipment means delivery of the goods to the carrier rather than creation of a shipping label.

Before shipment, you may cancel affected items by contacting support, identifying the Order, and clearly requesting cancellation. If Veroryx declines or cancels those items because an information request remains unresolved, the same protections apply. Veroryx will identify the canceled items and the amount to be refunded or authorization to be released. It will not impose a verification fee, administrative penalty, payment-processing deduction, or restocking charge for those unshipped items.

When an entire Order is canceled under these information-request provisions before shipment, Veroryx will refund the full amount collected, including the product price, associated taxes, and charges for shipping or other services that will not be performed. For a partial cancellation, the refund will include the amount paid for canceled unshipped items, associated taxes, and attributable charges for services that will not be performed, together with any further adjustment required by law. These provisions do not automatically make already-shipped goods refundable; those rights remain subject to applicable law and the Returns & Refunds Policy.

2.17 Refund method, delivered goods, and payment disputes

Veroryx will submit a required refund promptly and within the period required by applicable law, using the original payment method when available. If the original route cannot receive the refund, Veroryx will arrange a lawful alternative. If an authorization was not captured, Veroryx will take appropriate steps to cancel or release it; if funds were captured, Veroryx will issue the applicable refund. The payment provider may control when submitted funds appear in your account.

Incorrect shipments, damage, non-delivery, disputed charges, and other fulfillment problems retain the rights and remedies provided by applicable law and our policies. Contacting Veroryx does not suspend a payment-dispute deadline, prevent contact with a payment provider or authority, waive a right concerning an unauthorized or incorrect charge, or restrict a mandatory remedy.

2.18 Researcher information, correspondence, and acceptance records

Veroryx and its service providers may retain researcher information and acceptance records reasonably needed to document the transaction and representations, subject to applicable privacy notices and law. Those records may include your name, email address, professional or organization information, agreement text and version, acceptance status and time, Order details, and related security or payment identifiers. You may verify an unfamiliar information request through Veroryx support before sending documents.

Acceptance does not enroll you in marketing, authorize a subscription or future charge, or require unrelated information. The version accepted for an Order remains the applicable version for that Order; a later revision does not silently replace it or remove a refund right that has already arisen.

2.19 Preservation of rights and final acknowledgment

This Researcher Agreement does not restrict mandatory rights, excuse unlawful conduct, or create a new choice of court, jurisdiction, arbitration process, limitation of liability, or obligation to pay Veroryx’s legal expenses. If a provision cannot lawfully apply, the remaining provisions continue in effect and Veroryx gains no additional right to retain payment.

You acknowledge that truthful information and lawful laboratory use are conditions of access and purchase. If Veroryx reasonably requests information to resolve a relevant question, you must respond appropriately for affected items to proceed or may cancel them before shipment. An unresolved eligibility question alone does not permit Veroryx to retain payment for goods it will not ship.
